Terms and Conditions

Please review your order carefully before submitting it to ensure all information is correct.  Due to the type of products we sell and for other reasons, orders may be changed or cancelled only on a very limited basis and we do not accept returns or exchanges except in very limited circumstances, usually in connection with warranty claims (details below).  These and the other terms and conditions regarding the use of this website are set forth below.  References below to “you”, “your” or similar terms refers to users of this website; references to “us”, “we”, “our” or similar terms refers to Antonelli & Associates, Inc. Your visiting and/or use of this website shall be deemed your acceptance of all the policies and other terms and conditions set forth in this website including, without limitation, the following.

 

Order Changes & Cancellation Policy.

Many of the products we carry are manufactured to order and/or are shipped directly from our suppliers.  To ensure prompt delivery, customer orders are transmitted to our suppliers very quickly after we receive them and it can be very difficult or impossible to stop or change a supplier order after it has been placed.  Accordingly, if you want to cancel or change an order, it is imperative that you contact us as soon as possible after you place the order.  While we will promptly attend to your request, we cannot guaranty that any order may be changed or cancelled; our decision as to whether any order may be changed or cancelled shall be final.  You will be responsible to pay any fees and/or other costs we may incur as a result of your requested change or cancellation, plus a service charge of up to 20% of your total order amount, and we reserve the right to deduct such fees, other costs and service charge from the amount to be refunded to you in connection with the subject change or cancellation (if any) or, if the amount of such fees or costs exceeds the amount to be refunded you, you agree to pay the same upon our request in full and that we may withhold shipment of any order until such time as we receive such payment and any other amount as may be due from you.  Orders that have shipped may not be changed or cancelled in any event.

Requests for order changes or cancellation must be emailed to us at customerservice@adantonelli.com and must include all of the following information:  (a) Your Name; (b) Order Number; (c) Return Email; (d) Telephone Number; and (e) Desired Change or Cancellation, as applicable, and (f) Reason for Same. 

 

Processing Time.

"Processing time" is the time needed to receive, process and ship a customer order.  Processing time varies on a per product basis because, among other things, some of our products are ready made, some are custom made, some ship from our facilities, and others ship directly from the manufacturer or supplier.  Stock items (items we have on hand at our main offices at time of ordering) are typically shipped within two (2) business days after we receive an order.  Processing time for non-stock items is usually is longer than for stock items; some custom items may take as long as five (5) weeks, more or less, from order to delivery.  We reserve the right to complete orders in separate shipments.  You agree, to keep processing time to a minimum, to promptly respond to our request(s) for additional information.  Processing time is not guaranteed and may be extended due to particular customer requests and/or failure to promptly respond to our request(s) for additional information or for other reasons.  We strive to process orders and deliver products as soon as possible, but we cannot guaranty any particular shipping or delivery date.  Items will not be delivered on holidays.  Items noted as being “In Stock” on this website may or may not be in stock and are subject to the foregoing. 

Exchanges & Returns Policy.

Because our website is designed to help identify the correct product, and because we are available via telephone and email to assist our customers, we have very few requests to exchange or return products.  Complicating the matter is that many of our products are fabricated to order.  For these and other reasons, we do not accept products for exchange or return except in accordance with the terms and conditions of this website pertaining to warranty claims (see “Warranty Information” below); provided, however, we do reserve the right to accept exchanges or returns on a case by case basis as we may determine in our sole discretion. 

Requests for exchanges or returns must be emailed to us at customerservice@adantonelli.com and must include all of the following information:  (a) Your Name; (b) Order Number; (c) Return Email; (d) Telephone Number; and (e) Reason for Exchange or Return, as applicable.  We are not responsible for items lost or damaged during shipment; you should obtain a tracking number for all items you return, and you may also want to purchase shipping insurance.  Please forward us the tracking information (and the information set forth in (a) – (d) above) at customerservice@adantonelli.com to assist us in processing your return or exchange. 

Products that are not in new, unused condition with all original packing and/or which have been installed or used (or for which installation has been attempted) may not be returned for exchange, refund or for any other action in any event, and our decision in such matters shall be final.  Products will be inspected upon their return; we will advise you via email after inspection as to whether the returned product was in the proper condition and/or whether your request for return or exchange has been accepted or refused.  Our (or the manufacturer’s or supplier’s) determination as to whether to accept any product for exchange or return will be final; in addition, we may require payment of a handling fee in connection with any exchange or return.  Refunds for accepted returns, if any, shall be made in the form of a credit applied to the original form of payment.  

All approved exchanges and returns will be assigned an Exchange / Return Authorization (ERA) number.  We will communicate the ERA number to you, which communication may also contain appropriate return instructions.  ERA numbers expire automatically thirty (30) days after the date we notify you of same.  Attempted returns without a valid ERA number will result in, as we may select, (a) the return / exchange being refused and/or product shipped back to you at your cost and, if we choose to accept the return or exchange, additional fees will apply, or (b) the returned product being retained by us without any further liability to you whatsoever.  You agree that all your right, title and interest in and to any products returned to us shall be surrendered to us upon our receipt of the same, unless we elect otherwise, without further liability on our part.  We reserve the right to refuse the return or exchange of any product that is not returned in strict accordance with return instructions as we may provide and this policy.  It is your responsibility to provide us your email, facsimile number and/or street address (no PO Box) where we can reach you for purposes of this website.  We shall have no obligation whatsoever to attempt to locate you for purposes of this website; please be aware that we will be relieved of each and every of our responsibilities hereunder if you do not provide us current and/or updated information as to where we can reach you.     

 

Shipping Policy.

All products are shipped “FOB Place of Shipment” which means that the products we ship become your property when they are delivered to the post office, UPS or other shipping company (the “Carrier”) for shipment to you. We are not responsible for any loss or damage to your items occurring from and after the time they are delivered to the Carrier. Accordingly, it is your responsibility to make sure that your full order is delivered in good condition. You are responsible to make a claim directly against the Carrier in the event of any missing or damaged items.

Upon your request, as a courtesy, we may make or facilitate missing and damaged items claims against the Carrier on your behalf, provided that you comply with the “Damaged Item Procedure” and “Missing Item Procedure” set forth below, as applicable. Please understand, however, that you remain 100% responsible to make and prosecute claim(s) against a Carrier. In no event shall we be obligated to incur any cost or other liability in connection with any such claim and, of course, we cannot guaranty or be responsible for any particular outcome.

INSPECTION UPON DELIVERY:

PLEASE BE SURE TO INSPECT YOUR ITEM(S) FOR DAMAGE AND TO BE SURE THAT YOUR ORDER WAS FULLY DELIVERED WHILE THE CARRIER’S TRUCK IS STILL AT THE DELIVERY LOCATION.

IN THE EVENT THAT PART OF YOUR ORDER IS NOT DELIVERED (MISSING ITEM) OR AN ITEM ARRIVES DAMAGED AND YOU WISH TO REJECT THE ITEM (DAMAGED ITEM), WE RECOMMEND THAT YOU PERFORM THE FOLLOWING PROCEDURES, AS APPLICABLE: 

Missing item procedure:

  (1) make a note of the missing item(s) on the shipping paperwork (keep a copy for your claim),

  (2) make a missing items claim against the Carrier, and

  (3) if you want us to assist with your claim, email us a copy of the notated shipping paperwork to info@adantonelli.com within 2 days of delivery.

Damaged item procedure:

  (1) take pictures of the damage and any corresponding carton damage,

  (2) make a note specifying the damage on the shipping paperwork (keep a copy for your claim),

  (3) reject the damaged items (truck will take them away),

  (4) make a damaged items claim against the Carrier, and

  (5) if you want us to assist with your claim, email us the pictures and a copy of the notated shipping paperwork to info@adantonelli.com within 2 days of delivery.

Carriers all have strict timelines, deadlines and reporting requirements that must be adhered to in order for you to make a successful claim against them and receive replacement product or other compensation in the event of missing or damaged items. Claims for missing or damaged items should be made as soon as possible following delivery. The procedures set forth above are to help you make a successful claim; however, please be aware that we do not guaranty the outcome of any claim.

In addition, for any item that is not rejected upon delivery for damage but may be subject to return for some other reason, be sure to retain all product packaging (products must be returned in their original packaging). 

Most of our products are shipped via United Parcel Service (UPS) or United States Postal Service (USPS).  Shipments that are too large or too heavy for UPS or USPS to carry may be shipped via freight (e.g., via truck or semi-truck).  Freight shipments are usually too large and/or too heavy to be delivered by hand and special equipment may be required to remove these products from the truck.  It is your responsibility to make delivery arrangements.  It is your responsibility, in all events, at your sole cost and expense, for the removal of items from delivery vehicles.  

Shipments to the USA:  The cost to ship your products to locations within the USA will be calculated and must be paid at checkout.  Our responsibility will be to deliver your products to the Carrier after you have paid the cost of shipment.  NOTE: Shipments to Alaska, Hawaii, and Puerto Rico require shipment by air and, in our sole discretion, may not be eligible for free shipping; shipping will be calculated and must be paid by you upon checkout.     

Shipments to Canada:  The cost to ship products to Canada will be calculated and must be paid at checkout.  Our responsibility will be to deliver your products to the Carrier after you have paid the cost of shipment and to provide any information regarding the shipment as the Carrier may reasonably request and that is in our possession.  You will be responsible for all other costs of shipment such as, without limitation, document fees, customs fees, tariffs, taxes, duties and brokerage fees, as may be applicable; the Carrier will contact you to arrange for payment of the foregoing costs; you agree to pay all such other costs of shipment upon the Carrier’s or our request. 

Shipments to Other Countries:  The cost to ship products to countries other than the USA and Canada must be manually calculated and shall be paid by you directly to your Carrier of choice.  Please call us at (800) 535-1935 for details and procedures.  You will be directly responsible for all costs of shipment including, without limitation, document fees, customs fees, tariffs, taxes, duties and brokerage fees, as may be applicable (we will not pay any such costs on your behalf).   

We cannot ship to PO Boxes or Military (APO/FPO) addresses.  We can only ship to a valid business or residential street address.  You are responsible for any shipment costs incurred in connection with your entry of an improper delivery address and other costs of delivery.

Pricing & Payment Policy.

All orders are to be prepaid via credit card at the time of order; orders may also be prepaid via check or money order, but you will have to contact us in advance to arrange for such alternate payment.  By submitting an order to purchase a product, you agree to pay the purchase price as set forth in this website plus any related shipping costs, taxes and other charges pursuant to these Terms and Conditions and otherwise, as may be applicable.  We make every effort to correctly describe and portray the items and information contained in this website, and we intend to correct any errors in product pricing, description or otherwise as set forth in the website within a reasonable time after being made aware of the same.  However, in no event shall we be responsible to you or any other party for any pricing or other errors on this website.  We expressly reserve the right to cancel or refuse shipment of any order with notice to you of the same.  The specifications and other features of the products we sell typically vary over time and across manufacturers and suppliers.  You understand and agree, by using this website, that product features such as (without limitation) dimensions, specifications, descriptions, included hardware, available options, suitability for use by customer, color, etc., may vary from time to time, and you agree to accept any products we may furnish you regardless of any such variances.  Please also be aware that price adjustments for submitted and paid orders cannot be made at any time or for any reason.  Product color as shown on this website may vary from actual color, we are not responisble for any such color variation.  Coupons, discount and promotional codes must be presented or entered at the time of purchase and cannot be applied to previous purchases.  Product availability is always subject to change without notice.  We will refund the purchase price of any product that is discontinued or if we are otherwise unable to obtain the product you purchased for shipment in due course.  We will contact you for additional information that we may need to complete your order after you have purchased products such as, without limitation, color and other selections, and you agree to provide us any and all such additional information as we may request in a prompt manner.         

 

Sales & Use Tax.

Items sold and shipped to destinations in the State of Michigan are subject to sales tax.  Please be aware that laws differ between taxing authorities and that we or you may be obligated to pay sales or use tax on your purchase to your state and/or other tax jurisdiction; accordingly, we reserve the right to charge and collect sales and/or use tax on any sale if we determine that we are required to do so pursuant to applicable law as such law may be updated or amended from time to time.   

Privacy Policy.

This privacy policy concerns how we use personal information collected at this website.  We reserve the right to change our privacy policy from time to time, which changes will apply on a current basis and will not be retroactive.  Customers are encouraged to review our privacy policy upon each visit to this website.  The privacy policy for this website does not apply to other websites; please be sure to check the privacy policy of other websites you may visit via link from this website or otherwise.  

We collect personally identifiable information such as, without limitation, names, postal addresses, email addresses, etc., when voluntarily submitted by our visitors, which information is used to fulfill the business purposes of your visit to this website; we may also use such information to contact you about your purchase and/or to contact you regarding our company’s and/or its affiliates’ business, current promotions, new products and the like.  We will not use your personally identifiable information for any other purpose without your further consent.   

This website may use cookie and/or tracking technology, depending on the features offered.  Cookie and tracking technology is useful for gathering information such as browser type and operating system, tracking the number of visitors to the website and understanding how visitors use the website.  Cookies can also help customize the website for visitors. You agree that we may share personal and other information submitted to us at this website with governmental agencies or other companies assisting us in collections activities, fraud prevention or investigation and/or when such disclosure is otherwise required, pursuant to or in connection with (a) protection against potential and/or actual fraudulent transactions and/or (b) applicable law.  Such information is not provided to these companies for marketing purposes.

Personally identifiable information is kept secure.  Only authorized employees, agents and contractors (who have agreed to keep information secure and confidential) will be permitted access to this information, and we may also disclose such information as herein permitted.

Warranty Information.

All of the products we carry are designed and constructed in accordance with good industry standards and it is extremely rare that any product is or becomes defective.  The products we sell are covered by manufacturer or supplier warranties, as applicable (we do not provide any additional warranty or guaranty).  Such warranties typically warrant that products will be free of material defects that occur during the normal use and operation thereof, so long as the product in question is used for the purpose for which it is designed, for a particular period of time (warranty terms, conditions and periods vary by product, manufacturer and supplier).  Damage or failure of product due to improper use, abuse, unauthorized repair, ordinary wear and tear, damage by the elements, act of God or similar act, occurrence or condition not within the reasonable control of the warranting party will not be covered by warranty in any event.

Our sole liability and obligation with respect to warranty claims shall be to receive and submit your warranty claim to the manufacturer or supplier of the product in question; the final decision to accept or reject any particular warranty claim, in whole or in part, and the final resolution thereof, rests solely with such manufacturer or supplier.  In the event a warranty claim is accepted, the sole obligation and liability of the manufacturer or supplier of the defective product shall be to replace the product with like product, in whole or in affected part, to the extent such product or part is then available.  You shall be responsible for the cost to return any defective products; you will be reimbursed the cost of such return shipping if the product is covered under the applicable warranty, provided that you submit satisfactory evidence of such cost; you will not be obligated to pay the cost to ship covered replacement products. 

Please note that, while many of the products we sell are “USPS approved”, we do not control the manner of installation or use or other factors regarding such products and, accordingly, neither we nor any of our manufacturers, suppliers or any related party or parties shall be responsible, in any event, for United States Postal Service (USPS) approval of any postal product or installation, as may be applicable.  You shall be and remain solely responsible to obtain full and proper USPS approval as may be required for your installation and/or use of any postal products; failure of such USPS approval shall not be covered by us or any other party under this warranty or otherwise, in any event, and neither we nor any of our manufacturers or suppliers shall be responsible for any loss, cost, expense or other damage arising in connection with the such failed USPS approval.

Miscellaneous.

By visiting this website, you agree to all the terms and conditions set forth in this website and all the following:  (a) Your use of this website and any conflict which may arise between us shall be governed by the laws of the State of Michigan notwithstanding any conflict of laws principles to the contrary; (b) any legal action that may be brought by either you or us against the other or involving or referring to this website shall be brought, if at all, in the District Court(s) or Circuit Court of Oakland County, Michigan; (c) you are responsible for maintaining the confidentiality of any password or other account information we may assign to you for use in connection with this website, and you agree to be responsible for any and all activities that may occur under such password or other account information; (d) we reserve the right to discontinue, modify or delete any products, product features and/or product specifications at any time without liability; and (e) you are fully responsible, at your sole cost and expense, for product installation in all events.
